Terms of Service

1. Acceptance & Dual-Track Architecture

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and GeoFN ("open-geo", "we", "us", or "our", operated by GeoFN Operations). By accessing geofn.com, installing our CLI packages, or utilizing our cloud APIs, you agree to comply with and be bound by these Terms.

2. Permitted Use & Public Metadata Auditing

open-geo is engineered to assist engineers, marketing leaders, and website operators in analyzing and improving their Generative Engine Optimization (GEO) posture.

• Scope of Inspection: Our probe engine requests and analyzes only publicly discoverable endpoints, including robots.txt, /llms.txt, sitemap.xml, JSON-LD / Microdata schemas, and public search engine result pages (SERPs).
• Non-Intrusive Design: Probe requests are read-only HTTP GET/HEAD queries designed with respectful rate limits and standard user-agent identification. We do not bypass paywalls, exploit vulnerabilities, or inject arbitrary payloads.
• Target Domain Authorization: You represent that you either own the target domains submitted or possess legitimate technical benchmarking interest consistent with customary public search indexing.
• Prohibited Activities: You expressly agree not to: (a) reverse engineer, decompile, or disassemble the proprietary algorithms or backend endpoints of our hosted services; (b) lease, syndicate, sub-license, or resell access to the hosted API without explicit enterprise licensing; (c) execute distributed denial-of-service (DDoS) probes, vulnerability scans, or flood underlying compute infrastructure; or (d) submit queries containing malicious payloads, phishing lures, or unlawful content.

3. Free Trial Quota & Fair Use Policy

To enable developers and founders to verify value before commercial commitment, we provide tiered trial credits:

• Anonymous Tier: 1 free real-time probe per IP address per 24-hour rolling window.
• Email-Unlocked Tier: 2 additional deep probes (total 3 free probes) unlocked upon entering a verified, non-disposable corporate or personal email address.
• Anti-Abuse Restrictions: You agree not to circumvent rate limits using automated botnets, rotation of proxy IPs, disposable/temporary email addresses, or scripts intended to exhaust underlying computing infrastructure. We reserve the right to throttle, restrict, or terminate abusive access without prior notice.

4. Subscriptions, Credits & Refund Policy

Commercial plans (e.g. Pro, Agency, Enterprise) grant recurring monthly or annual scan credits and programmatic API access:

• Recurring Billing: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled prior to the renewal date via your customer portal or written request to support@geofn.com.
• Credit Allocation & Expiration: Monthly plan credits are allocated on each renewal date and reset at the conclusion of each billing cycle. Separately purchased Add-on credit packs do not expire and roll over indefinitely until fully consumed. Usage is automatically deducted first from expiring monthly allocations before consuming Add-on packs.
• 7-Day Money-Back Guarantee & Refund Policy: If you are not satisfied with your subscription, you may request a refund within seven (7) calendar days of your initial purchase by contacting support@geofn.com. To prevent API and compute resource abuse, the following conditions strictly apply:
  • Fair Usage & Proration: Consumed credits are calculated at standalone rates ($0.50/credit) and deducted from your refund amount. If more than 25% of your monthly credit allowance has been utilized, the service is deemed substantially delivered, and the subscription is non-refundable.
  • One-Time Eligibility: This guarantee applies ONCE per customer (verified by email, payment card fingerprint, and billing entity). Subsequent subscriptions or reactivations are strictly non-refundable.
  • Add-on Packs & Renewals Excluded: Standalone Add-on credit packs (prepaid, non-expiring) and subsequent automatic subscription renewal cycles are final and non-refundable. Subscriptions may be canceled anytime prior to renewal via the Customer Portal.
  • Immediate Revocation: Upon issuance of any refund, all associated API license keys are immediately revoked, and accumulated balances are forfeited. We reserve the right to decline refund requests exhibiting bad-faith usage patterns or automated scraping abuse.

5. Third-Party AI Engine Disclaimer & No Ranking Guarantees

Generative search visibility depends on proprietary, non-deterministic neural models operated by third parties (including Google LLC, OpenAI, Perplexity AI, and Anthropic).

6. Intellectual Property & Generated Remediation Code

You retain all right, title, and interest in and to your proprietary trademarks, website assets, and customer data.

Any automated remediation code snippets (such as Schema.org JSON-LD structures, robots.txt directives, or /llms.txt manifests) generated by our engine during an audit are provided under a perpetual, royalty-free, worldwide license for you to adapt, merge, and deploy into your web applications.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall open-geo, its founders, contributors, or service providers be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, goodwill, data, or business interruption.

Our aggregate cumulative liability arising out of or related to these Terms or your use of our hosted services shall not exceed the total fees paid by you to open-geo during the twelve (12) months preceding the incident.

8. Indemnification

You agree to defend, indemnify, and hold harmless open-geo, its founders, affiliates, licensors, and contributors from and against any third-party claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable legal and accounting fees) arising out of or in any way related to: (a) your use of or access to our hosted services; (b) your violation of these Terms or applicable laws; or (c) any domain names, metadata, or content you submit that infringes upon any copyright, trademark, trade secret, or privacy right of a third party.

9. Termination & Suspension

You may terminate your account or cancel paid subscriptions at any time via your customer billing portal or by submitting a written notice to support@geofn.com.

We reserve the right to immediately suspend or terminate your access to the hosted services, with or without notice, in the event of: (a) any material breach of these Terms, including circumvention of rate limits or abuse of trial quotas; (b) requests by law enforcement or government authorities; or (c) technical or security issues threatening platform stability.

Upon termination, your right to use the hosted services immediately ceases. Diagnostic cache records are purged automatically under our 24-hour retention protocol, and account records will be handled strictly in accordance with our Privacy Policy.

10. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (Hong Kong SAR), without regard to its conflict of law principles.

Informal Resolution First: Before filing any formal claim or legal action, you and open-geo agree to attempt in good faith to resolve any dispute through informal discussions for a minimum of thirty (30) business days by contacting support@geofn.com.

Exclusive Jurisdiction: If a dispute cannot be resolved informally within thirty (30) days, both parties irrevocably agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

11. General Provisions (Severability & Entire Agreement)

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and open-geo with respect to the hosted services, and supersede all prior or contemporaneous oral or written understandings, proposals, or representations.

No Waiver: Our failure or delay to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance.

12. Modifications to Terms

We reserve the right to revise these Terms periodically to reflect changes in technical capabilities, regulatory requirements, or commercial offerings. Material modifications will be communicated by updating the "Effective Date" at the top of this document.
